2. Orders and Acceptance
2.1 All orders must be submitted in writing and are subject to acceptance by the Company.
2.2 The Company reserves the right to accept or reject any order at its discretion.
2.3 Any modifications to an order must be agreed upon in writing by both parties.

3. Pricing and Payment
3.1 Prices are quoted based on market conditions and may be subject to change without prior notice.
3.2 Payment terms shall be as per the invoice agreement, and all payments must be made in the specified currency.
3.3 Late payments may be subject to penalties or interest as per applicable laws.

4. Delivery and Shipping
4.1 Delivery timelines are estimates and are not guaranteed. The Company is not responsible for delays due to unforeseen circumstances.
4.2 Shipping costs and responsibilities shall be as per the agreed Incoterms.
4.3 The risk of loss or damage to goods passes to the Buyer upon delivery.

5. Quality and Inspection
5.1 The Company guarantees that its products meet industry standards and specifications as agreed upon in the order.
5.2 The Buyer must inspect the goods upon delivery and report any defects within a specified period.
5.3 Claims for defective products must be supported by relevant documentation and evidence.

6. Warranty and Liability
6.1 The Company provides a limited warranty on its products, covering manufacturing defects.
6.2 The Company shall not be liable for damages resulting from improper handling, misuse, or unauthorized modifications by the Buyer.
6.3 Liability for any claim shall be limited to the replacement of the defective product or a refund at the Company’s discretion.

7. Force Majeure
7.1 The Company shall not be held liable for failure to perform obligations due to events beyond its control, including but not limited to natural disasters, labor strikes, or government regulations.

8. Intellectual Property
8.1 All designs, drawings, and technical documents provided by the Company remain its intellectual property.
8.2 The Buyer shall not reproduce, distribute, or disclose any proprietary information without the Company’s written consent.

9. Governing Law and Dispute Resolution
9.1 These Terms and Conditions shall be governed by the laws of [Jurisdiction].
9.2 Any disputes shall be settled through negotiation, and if unresolved, through arbitration or legal proceedings in the appropriate courts of [Jurisdiction].

10. Amendments
